Nature of Platform & Disclaimer

Complianto operates as a technology-enabled facilitation platform connecting clients with qualified independent professionals and simplifying business, compliance, and regulatory workflows.

  • Complianto is not a law firm, CA firm, CS firm, Trademark Agent, or Government authority.
  • Complianto does not provide legal, tax, or professional advice.
  • Complianto does not represent clients before any authority, court, or regulatory body.

All filings, representations, certifications, and professional actions (where required) are performed exclusively by independent, duly qualified professionals in accordance with applicable laws. Engagement of this platform does not create any professional-client, attorney-client, or fiduciary relationship between the client and Complianto.

1. Definitions

For the purposes of this Policy, the following terms shall have the meanings assigned to them below:

  • "Client", "you", "your": Any natural or legal person who accesses the Complianto platform or avails any of the Services.
  • "Engagement": Any order, purchase, subscription, or request for Services placed with Complianto.
  • "Government Fees": Statutory charges, duties, or fees payable to any government, quasi-government, or regulatory authority (e.g., MCA fees, Stamp Duty, Trademark application fees).
  • "Professionals": Chartered Accountants, Company Secretaries, Advocates, Trademark Agents, or other independent third-party experts engaged to deliver parts of the Services.
  • "Working Day": A day (other than a Saturday, Sunday, or public holiday) on which banks are open for business in Delhi, India.
  • "Expedite Services": Any service for which the client has requested or paid for priority, accelerated, or same-day processing.

2. Fee Structure Clarification

Payments made to Complianto may include one or more of the following components, each governed separately under this Policy:

  • Facilitation & Professional Fees — fees charged by Complianto for platform access, coordination, documentation support, and process management, as well as fees paid to independent Chartered Accountants, Company Secretaries, Advocates, Trademark Agents, or any other professional engaged for service delivery.
  • Government Fees / Statutory Charges — fees payable to regulatory bodies such as MCA, IP India, GST authorities, NSWS, etc.
  • Third-Party Costs (if applicable) — charges such as Digital Signature Certificate (DSC) procurement, notarisation, courier, or other ancillary costs.

Each component is distinct. Government Fees, Professional Fees, and Third-Party Costs are strictly non-refundable once incurred on behalf of the client, regardless of the outcome.

3. Eligibility & Client Responsibilities

3.1 Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts under the Indian Contract Act, 1872. By availing our services, you represent and warrant that you meet this requirement.

3.2 Accuracy of Information

You warrant that all information and documents provided by you are true, complete, and up-to-date. Complianto shall not be liable for any loss, delay, rejection, or other adverse outcome arising from inaccurate, incomplete, or misleading information furnished by you. No refund shall be applicable in such circumstances.

3.3 Timely Cooperation

You agree to respond to requests from our team and provide all required documents within the communicated timelines. Delays attributable to the client will extend service delivery timelines and may render the client ineligible for a refund.

3.4 Communication Consent

By availing our services, you consent to being contacted by Complianto via phone, email, SMS, WhatsApp, or other digital channels for service delivery, support, and important updates relating to your Engagement.

4. Refund Schedule

Note: Government Fees, Professional Fees, and Third-Party Costs, once paid on the client's behalf, are strictly non-refundable under any circumstances.

5. Non-Refundable Components

The following are strictly non-refundable under all circumstances, irrespective of the stage of service delivery or reason for cancellation:

  • Government Fees (MCA, Trademark, Stamp Duty, Startup India/DPIIT, GST, or any statutory authority fee)
  • Third-Party Costs (Digital Signature Certificate, notarisation charges, courier, or auditor fees)
  • Payment gateway transaction charges — 2% of the transaction value
  • GST at 18% as applicable per the tax invoice
  • Professional Fees once a Professional has been assigned or engaged in relation to the Engagement
  • Fees for services offered under special promotions, bundles, or schemes explicitly marked as non-refundable at the time of purchase

6. Refund Philosophy

Complianto is committed to transparency, fairness, and client satisfaction. This Policy is designed to balance the legitimate interests of clients with the operational realities of service delivery, including non-recoverable Government Fees, Professional Fees, and administrative costs incurred upon engagement. Fees paid to Complianto are charged for facilitation, documentation, coordination, and process management — not for guaranteed outcomes or approvals, which are solely at the discretion of the relevant Government authorities.

7. Cancellation Process

7.1 When Cancellation May Be Considered

A cancellation request may be considered only if all of the following conditions are simultaneously satisfied at the time of the request:

  • No work has been initiated internally
  • No Professional has been engaged or assigned to the Engagement
  • No document processing, review, or drafting has commenced
  • No Government form, portal activity, or statutory filing has been undertaken

7.2 Expedite Services

Expedited services are short-term services. For expedited services that have been initiated, cancellation is not permitted under any circumstances. For expedited services not yet initiated, cancellation requests must be submitted within 24 hours of payment. Requests received beyond this window shall not be considered.

7.3 Standard Compliance Services — 5-Day Window

For standard compliance services, a cancellation request must be submitted within 5 calendar days of payment, provided no work has commenced as described in Section 7.1 above.

7.4 When Cancellation Is Not Permitted

Cancellation shall not be permitted once any of the following events has occurred:

  • A consultation or advisory interaction has taken place with our team or an assigned Professional
  • Document review, drafting, name search, or eligibility analysis has commenced
  • The Engagement has been assigned to a Professional or an internal service delivery team
  • An application has been filed with any Government authority, regulatory body, or statutory portal — including MCA, IP India, NSWS, GST Portal, or any other statutory portal, whether physical or online — in which case no cancellation or refund shall be permitted under any circumstances
  • Documents have been submitted for processing or execution

8. Government Rejections, Objections & Delays

No refund shall be provided in the following circumstances, as these constitute external factors entirely beyond the control of Complianto:

  • Rejection of an application by any Government authority or department
  • Trademark objections, oppositions, or refusals at any stage of examination
  • Delays attributable to departmental or Government backlogs
  • Changes in applicable law, regulatory requirements, or Government policy
  • Technical errors, portal downtime, or system failures on Government portals

Complianto will assist the client in determining appropriate next steps in such cases. However, no refund of Professional Fees, Government Fees, or Facilitation Fees shall be issued.

9. Client Responsibilities — Refund Exclusions

No refund shall be applicable in circumstances where the client has contributed to service failure or delay, including but not limited to:

  • Incorrect, incomplete, or misleading information was provided at the time of service initiation
  • Required documents were delayed, withheld, or not submitted within specified timelines
  • The client was unresponsive to communications from our team during the course of the Engagement
  • Instructions or guidance provided by our team or the assigned Professional were not followed
  • OTPs, authorisations, or approvals required for Government portal submissions were not provided in a timely manner
  • Conduct amounting to misbehaviour with our professionals, staff, or employees

10. Additional Cost Liability — Post 60 Days

Where an Engagement remains active beyond 60 days from the date of payment — whether due to client delay, unresponsiveness, or any other reason — the client shall be liable to bear any increase in Government Fees, third-party costs, or vendor charges that may have occurred during the intervening period. Complianto shall not absorb such incremental costs.

11. How to Request a Refund

  • Submit your refund request by email to hello@complianto.in from your registered email address. Include the subject line: "Refund Request – [Your Name / Entity Name]".
  • Provide the following details in your request: full name, service name, payment date, payment reference number, and the reason for the refund.
  • All requests must be raised within the applicable time window as specified in the Refund Schedule (Section 4).
  • Approved refunds will be processed to the original payment method within 5–7 Working Days from the date of the decision.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Complianto's total liability in connection with any Engagement shall not exceed the Facilitation Fees paid by you for that specific Engagement. Complianto shall not be liable for any indirect, incidental, special, consequential, or punitive loss, including loss of profit, revenue, data, or opportunity, arising from or in connection with the Services or this Policy.

13. Governing Law & Jurisdiction

This Policy shall be governed by and construed in accordance with the laws of India. All disputes arising out of or in connection with this Policy or any Engagement shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

14. Privacy & Data Protection

Complianto is committed to protecting the privacy and personal data of its clients in full compliance with the Information Technology Act, 2000, and the Digital Personal Data Protection Act, 2023 (DPDP Act).

14.1 Data We Collect

We collect the following categories of personal data in the course of service delivery:

  • Identity & Contact Data: Name, PAN, Aadhaar details, Director Identification Number (DIN), address, email address, and mobile number.
  • Service Data: Documents and information provided by you for the purpose of delivering the requested Services.
  • Transactional Data: Details of services purchased, payment information, and invoices.
  • Technical & Usage Data: IP address, browser type, device information, and usage patterns on our platform.

14.2 Purpose and Legal Basis for Processing

We process your personal data to perform our obligations under our contract with you, comply with applicable legal requirements, pursue our legitimate interests in improving service quality, and — with your consent — communicate relevant updates and offers. We shall not process your data for any purpose incompatible with those for which it was originally collected.

14.3 Data Sharing & Disclosure

Your personal data is shared only to the extent necessary for service delivery. We may share data with:

  • Professionals (CAs, CSs, Advocates, Trademark Agents) engaged to deliver your Services
  • Government authorities and statutory bodies, as required by law or for the purpose of filings
  • Technology and payment service providers acting as data processors on our behalf

We do not sell, rent, or trade your personal data to third parties for commercial purposes.

14.4 Data Security

Complianto implements appropriate technical and organisational security measures, including encryption, access controls, and secure storage, to protect your personal data from unauthorised access, alteration, disclosure, or destruction.

14.5 Data Retention

We retain your personal data only for as long as is necessary to fulfil the purposes for which it was collected, or as required by applicable Indian law, including but not limited to the Companies Act, 2013, Income Tax Act, 1961, GST Act and the DPDP Act, 2023.

14.6 Your Rights under the DPDP Act, 2023

As a Data Principal under the Digital Personal Data Protection Act, 2023, you have the following rights:

  • Right to access: the right to obtain confirmation of whether your personal data is being processed and to access such data.
  • Right to correction and erasure: the right to correct inaccurate or incomplete data, and to request erasure of data no longer necessary for the purpose it was collected.
  • Right to grievance redressal: the right to raise a grievance with us regarding the processing of your personal data.
  • Right to nominate: the right to nominate another individual to exercise your rights in the event of your death or incapacity.

15. Policy Updates

  • The Company reserves the right to modify, amend, or update this Policy at any time without prior notice.

  • Continued use of the Services following the publication of an updated Policy shall constitute your acceptance of the revised terms.

Note: This Policy is subject to change. For disputes, the decision of Complianto Management shall be final and binding, subject to applicable law and the jurisdiction clause set out in Section 13.
