LLP annual compliance is the set of yearly filings a limited liability partnership makes under the Limited Liability Partnership Act, 2008. The two main MCA forms are Form 11, the annual return, and Form 8, the statement of accounts and solvency. The LLP also files an income tax return.
An LLP has fewer duties than a company. It holds no board meetings or AGM, and its accounts need an audit only above a turnover or contribution limit. But the yearly forms are due even if the LLP did no business.
Dates below assume the usual April to March financial year.
| Filing | What it is | When |
|---|---|---|
| Books of account | Record every sale, purchase, expense and bank entry | All through the year |
| Form 11 | Annual return: partners and their contribution | Within 60 days from the end of the financial year (30 May) |
| Audit, if needed | Audit of the accounts above the turnover or contribution limit | Before Form 8 is filed |
| Form 8 | Statement of accounts and solvency | Within 30 days after six months from the end of the financial year (30 October) |
| Income tax return (ITR-5) | The LLP's own return and tax | Every year, by the due date for the year |
| DIR-3 KYC | KYC of each designated partner who holds a DIN | When it falls due for the partner |
MCA and the income tax department sometimes extend due dates. We send you each date before it is due.
Late MCA filings attract an additional fee that grows with the delay. Filing on time is the cheapest option.

An LLP must get its accounts audited when its turnover is above ₹40 lakh, or its partners' contribution is above ₹25 lakh, in the financial year. Below both limits, a statutory audit is not required.
The partners appoint the auditor by a resolution. No MCA form is filed for the appointment. A tax audit under income tax law is a separate test.
