An LLP is a form of partnership with limited liability. It has features of both a partnership firm and a company. LLPs are governed by the Limited Liability Partnership Act, 2008, and are registered with the Ministry of Corporate Affairs (MCA).
An LLP is a separate legal entity. It can hold property and sign contracts in its own name, and it continues when partners change. Each partner's liability is limited to their agreed contribution.
An LLP is run under a written LLP Agreement. It sets out the rights and duties of the partners.
KYC documents should be self-attested. The utility bill and bank statement should not be more than 30 days old. A rent agreement must be in the name of a proposed designated partner, not the proposed LLP, with witnesses and notarised.
The whole process is online. You do not need to visit the ROC office.
Every designated partner needs a Class 3 digital signature. It works as proof of identity when signing the forms.
Each designated partner needs an identification number from MCA, unless they already have one.
We file the RUN-LLP form. The name should not be similar, identical or phonetically similar to an existing LLP, company or trademark.
FiLLiP carries the registered office address, the ROC, the business activity code, and the details and contribution of the designated partners.
After incorporation, we draft the LLP Agreement. It is printed on stamp paper and filed online in Form 3.
The registration cost of an LLP is based on the amount of capital contribution. Given below are the costs involved in registering an LLP.
